Terms of service
In force since 29 September 2026
1. Who these terms are between
These terms govern the service provided by GuestSync LLC, a Wyoming limited liability company with its principal office at 407 Lincoln Rd STE 708, Miami Beach, FL 33139 ("GuestSync", "we", "us"), to the property owner who engages us ("you"). They apply from the day we take over your guest operation. Please read sections 8 to 12 carefully: they limit what you can recover from us.
2. What we provide
- Answering guest messages, with a target of under 30 minutes at any hour.
- Taking guest phone calls, in English and Spanish, where you have forwarded the number to us.
- Remote check-in and check-out: issuing and revoking access codes, arrival instructions, follow-up.
- Replying to reviews.
- Triaging issues raised during a stay and briefing your local crew.
Everything we do is remote. We never attend the property.
3. What we do not provide
- Cleaning, laundry, linen or any physical maintenance.
- Any attendance at the property, key handover, or on-site presence of any kind.
- Pricing or revenue management.
- Legal, tax, insurance or licensing advice.
4. What we are, and what we are not
We are an independent contractor providing administrative and communication support. Nothing in these terms makes us your employee, partner, joint venturer or agent, and neither of us may bind the other.
We are not a property manager, letting agent or real estate broker. Specifically, we do not:
- Rent, lease, let, or offer or negotiate to rent or lease your property to anyone;
- Set, advise on or negotiate your prices, terms or conditions;
- Accept, hold, handle or disburse rent, deposits or any guest funds;
- Decide which bookings you accept, or accept them on your behalf;
- Enter into any agreement with a guest, in your name or ours.
Bookings are made between you and your guest through your own account with the platform. We communicate on your behalf and carry out your instructions; every decision that binds you is yours.
5. You remain the host
This is the most important clause in this document, so it is written plainly.
You are and remain the host, and the person responsible for the property, the letting and the guests. The listing is yours, the booking contract is between you and your guest, and the property is yours. Delegating the guest conversation to us does not transfer any of that.
You remain solely responsible for:
- The condition, safety, habitability and legal compliance of the property, including licences, permits, tourist or guest registration where required, condominium or homeowners' association rules, taxes, and insurance.
- Your house rules, your cancellation policy, your prices, and which guests you accept.
- All decisions about refunds, compensation, damage claims, security deposits and disputes with guests or platforms.
- Guest behaviour, and anything a guest does to the property, to neighbours or to third parties.
- Complaints, claims, fines, penalties or legal action arising from a stay or from the letting.
- Providing and maintaining a smart lock we can manage remotely, a local crew for cleaning and maintenance, and a phone number that forwards guest calls to us.
We handle the conversation, advise you, and escalate what needs your decision. The decision, and the responsibility for it, is always yours.
6. What you promise us
By engaging us you confirm that:
- You own the property or are legally entitled to let it on a short-term basis, and doing so complies with the law, your lease, your mortgage and any association rules that apply to you.
- You hold every licence, permit and registration your jurisdiction requires, and you keep them current.
- You maintain, at your own cost, property and liability insurance appropriate to short-term letting, covering the property and injury or loss suffered by guests and third parties. We are not your insurer and we do not provide cover of any kind.
- You have the authority to grant us the access described in section 13, and granting it breaks no agreement you have with anyone else.
- The information you give us — about the property, the platforms, the crew and the lock — is accurate, and you will keep it up to date.
7. What we are responsible for
We are responsible for performing our own service with reasonable skill and care: answering your guests, handling access codes correctly, keeping your credentials secure, and briefing your crew accurately.
We are not responsible for the stay itself, for your guests, or for the property. Without limiting section 5, we are not liable for: guest complaints, negative reviews or review scores, cancellations, damage to the property, theft, disturbance to neighbours, guest injury, lost or reduced bookings, loss of revenue or profit, loss of ranking or platform standing, fines or penalties, or the acts and omissions of your cleaner, your maintenance provider, your key holder, your platform, your property management system or your lock manufacturer.
8. No guarantee of results
We provide the service with reasonable skill and care, and that is the whole of what we promise. To the fullest extent the law allows, we give no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
In particular we do not guarantee that you will receive more bookings, more revenue, better reviews or a better ranking, nor that the service will be uninterrupted or free of error.
9. Limitation of liability
Please read this section carefully. It limits what you can recover from us, including where the loss is caused by our own negligence.
(a) To the fullest extent permitted by law, we are not liable for indirect, incidental, special, punitive or consequential losses, including lost bookings, lost revenue, lost profit, loss of data or reputational harm — even where such loss is caused by our own negligence, and even if we were told such loss was possible.
(b) Where we are liable to you on any basis — in contract, in tort (including our own negligence), by statute or otherwise — our total aggregate liability for all claims arising in any twelve-month period is limited to the fees you actually paid us in the three months immediately before the event giving rise to the claim.
(c) You agree this allocation of risk is reasonable, that it is reflected in our fee, and that we would not provide the service at this price without it.
(d) Nothing in these terms excludes or limits liability for our own gross negligence, wilful misconduct or fraud, for personal injury or death caused by our negligence, or for anything else that cannot lawfully be excluded or limited.
10. Time limit for claims
Any claim arising out of these terms or the service must be brought within twelve months of the date you first knew, or reasonably should have known, of the facts giving rise to it. After that the claim is permanently barred, except where the law does not allow such a limit.
11. Indemnity
You will defend, indemnify and hold us harmless against any claim, demand, loss, liability, fine or cost — including reasonable legal fees — brought by a guest, a neighbour, your crew, a platform, an insurer or an authority, and arising from: the property; a stay; your compliance obligations as the host; your instructions to us; or your breach of section 6.
This does not apply to the extent the claim is caused by our own gross negligence or wilful misconduct.
12. Things outside our control
We are not liable for any failure or delay caused by something beyond our reasonable control, including: outages, changes, suspensions or account decisions by Airbnb, Booking.com or any other platform; failure of your property management system, smart lock, internet or telephone forwarding; power or network failures; the acts of your crew; strikes, epidemics, extreme weather or acts of government.
Your platform account, your property management system and your lock belong to you, and we have no control over their decisions, terms, pricing or availability.
13. Access you grant us
To do the work we need access to your property management system and to the software controlling your smart lock. You grant that access through your own accounts and may revoke it at any time. We use it only to run your stays: we issue and revoke guest codes, and we do not change your master code, add permanent users, or use the access for anything else. On termination, all access is revoked and confirmed to you in writing within 24 hours.
14. Fees
USD 250 per property, per month, plus a one-time setup fee of USD 50 per property which includes migration from another property management system. We take no commission on your bookings and your booking revenue never passes through us. There is no lock-in period.
Pausing. If a property is closed — for the season or for any other reason — tell us and we stop billing it from the next cycle. Your configuration, templates and access stay in place, we stop answering guests for that property, and there is no charge to resume. No second setup fee.
Billing cycle. We close the accounts on the 1st of each month for the stays completed in the month before. Payment is taken between the 1st and the 5th by direct debit from the bank account you provide during onboarding. Fees are exclusive of any taxes that may apply.
The fee does not vary with your occupancy or your revenue. Fees already invoiced for a completed month are not refundable; to stop paying, pause or cancel, which you may do at any time.
15. Response times
We aim to answer guest messages within 30 minutes, 24 hours a day, and we take that commitment seriously. It is a service target, not a guarantee, and section 12 applies to it. Missing it does not create liability for consequential loss, but it does entitle you to leave at any time, with no notice and no penalty.
16. Confidentiality and data
We keep your commercial information confidential and do not share it with other owners. Guest data is processed on your instructions as your processor, under our data processing agreement, which forms part of these terms.
17. Suspension and termination
Either of us may terminate at any time, with no notice period and no cancellation fee. Fees already earned on completed stays remain payable. On termination we revoke all access within 24 hours and stop answering your guests, so plan the handover before you switch us off.
We may suspend the service immediately if payment fails and is not resolved within seven days, if you ask us to do something unlawful, or if continuing would expose us to legal risk. We will tell you why.
18. Changes to these terms
If we change these terms we will update the date at the top and notify current clients by email at least 30 days before the change takes effect. Continuing to use the service after that date means you accept the change; if you would rather not, you can leave.
19. General
- Severability. If a clause is held unenforceable, it is limited to the minimum extent necessary and the rest of these terms stand.
- No waiver. If we do not enforce a right, we have not given it up.
- Entire agreement. These terms, with the data processing agreement, are the whole agreement between us and replace anything said beforehand.
- Assignment. Neither of us may assign this agreement without the other's consent, except to a successor of the whole business.
- Notices. By email to the addresses we hold for each other.
- Survival. Sections 5 to 12, 16 and 19 to 20 survive termination.
20. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The state courts of Laramie County, Wyoming and the United States District Court for the District of Wyoming have exclusive jurisdiction, and both of us submit to it. To the extent the law allows, both of us waive the right to a jury trial in any dispute arising from these terms.
